Welcome to XCut.AI! These Terms of Service ("Terms") govern your use of our canvas-based AI workspace and services.

1. Acceptance of Terms

By accessing or using XCut.AI ("Service"), you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

XCut AI is a canvas-based AI workspace that allows creators, agencies, and businesses to research competitors, detect viral outliers, and generate platform-specialized scripts using a visual node-based workspace.

3. User Accounts

3.1 Account Creation

• You must provide accurate, complete information when creating your account
• You are responsible for safeguarding your account credentials
• You must be at least 18 years old to use our Service. XCut.AI is not directed at children
• One person or legal entity may maintain only one account

3.2 Account Responsibility

• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized use
• XCut.AI is not liable for losses due to unauthorized account access

4. Subscription Plans and Billing

4.1 Plan Types

• 7-day trial: $5, full access to the plan you pick with 1,000 credits, then the plan you picked unless you cancel
• Starter, Pro, Business and Agency: paid subscriptions, available monthly or annually
• Current prices, credit allowances and seat counts are listed on the pricing page, which is the authoritative source

4.2 Billing Terms

• Subscriptions are billed monthly in advance
• Prices are in USD and subject to change with 30 days notice
• You authorize us to charge your payment method automatically
• Automatic renewal: every subscription renews automatically at the end of each billing period (monthly or yearly, the one you chose) at the price shown on the pricing page, until you cancel. The $5 trial becomes the plan you picked, at that plan's full price, at the end of its 7 days unless you cancel before then
• How to cancel: online, any time, in Settings → Plan & billing. No call is needed. Cancelling stops future charges
• Failed payments may result in service suspension

4.3 Credits System

• Plans include monthly processing limits based on the number of canvases, nodes, and AI analyses
• Unused credits roll over up to the cap shown for your plan on the pricing page (for example, Starter rolls over up to 375 credits)
• Additional credits may be purchased separately

5. Refund Policy

5.1 14-Day Money-Back Guarantee

If you are not satisfied with a paid plan, you may request a full refund of your first subscription payment within 14 days of that payment by emailing support@xcut.ai. You do not need to give a reason, complete a form, or take a call. We will process approved refunds to the original payment method within 14 business days.

The guarantee applies as follows:

• It covers the first subscription payment on your first paid plan
• The request must be made within 14 days of that payment
• It is available once per customer and per organisation
• Your access ends when the refund is issued

It does not cover:

• Subscription renewals after the first payment
• One-time credit top-up purchases, which are consumable on use
• Accounts terminated for violations of these Terms

Every account can start with the $5 7-day trial, with full access to the plan you pick and 1,000 credits, so you can evaluate the product before committing to a plan.

5.2 Refunds Outside the Guarantee

Beyond the guarantee above, refunds may be considered in cases of:

• Billing errors made by XCut.AI
• Service unavailability for more than 72 consecutive hours
• Fraud or unauthorized charges

Outside of these cases and the guarantee in 5.1, subscription payments are non-refundable for partial months, unused credits, or cancellation part-way through a billing period. Cancelling stops future charges; it does not refund the current period.

5.3 Dispute Resolution

Payment disputes must be raised within 30 days of the charge. Contact support@xcut.ai with documentation.

6. Content and Intellectual Property

6.1 Your Content

• You retain ownership of your uploaded videos and content
• You grant XCut.AI a limited license to process and analyze the media, profiles, and data you add to your canvases
• You must own, or have the rights or permission to use, everything you upload, import or add to XCut.AI (videos, images, posts, profiles, documents), and you represent that you do
• You're responsible for ensuring content doesn't violate third-party rights

6.2 Generated Content

• You own the content briefs, scripts, and strategies generated by XCut.AI in your workspaces
• XCut.AI retains ownership of our AI algorithms, software, and technology

6.3 Prohibited Content

You may not upload or process:

• Copyrighted material without permission
• Illegal, harmful, or offensive content
• Content violating platform community guidelines
• Personal information of others without consent
• Content promoting violence, hate, or discrimination

6.4 Copyright Complaints (DMCA)

If you believe content on XCut.AI infringes your copyright, send a notice as described on our Copyright & DMCA page. We remove infringing material when we receive a valid notice, accept counter-notices, and close the accounts of repeat infringers.

7. Platform Integration and Publishing

7.1 Social Media Connections

• You authorize XCut.AI to access data from connected social platforms for outlier detection and research
• You're responsible for compliance with each platform's terms of service
• We're not liable for platform policy changes or account suspensions
• You can revoke publishing permissions at any time

7.2 Third-Party Platforms

• Integration with TikTok, Instagram, YouTube, and other platforms is subject to their APIs
• Service availability may be affected by third-party changes
• We don't guarantee continuous integration with any specific platform

8. Acceptable Use

8.1 Permitted Use

• Personal and commercial content creation
• Educational and informational content
• Marketing and promotional materials
• Entertainment content

8.2 Prohibited Use

You may not:

• Reverse engineer or attempt to extract our source code
• Use the service for illegal activities
• Violate any applicable laws or regulations
• Attempt to circumvent usage limitations
• Share account credentials with others
• Upload malicious code or viruses

9. Service Availability and Limitations

9.1 Service Level

• We strive for 99% uptime but don't guarantee uninterrupted service
• Maintenance windows may be scheduled with advance notice
• Analysis times for competitor profiles and complex canvases may vary based on demand and data volume

9.2 Fair Use

• Plans are designed for typical creator usage patterns
• Excessive usage may result in throttling or plan upgrade requirements
• We reserve the right to investigate unusual usage patterns

10. Privacy and Data Protection

10.1 Data Handling

• Your privacy is governed by our Privacy Policy
• We process personal data in accordance with applicable laws
• Canvas workspaces and research data are processed using secure cloud infrastructure
• We don't sell your personal data to third parties

10.2 Content Retention

• Analyzed profile data and competitor videos may be temporarily cached for performance
• Original uploads and canvas structure data are securely stored while your account remains active
• You can request data deletion by contacting support

11. Termination

11.1 Termination by You

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds for partial periods

11.2 Termination by XCut.AI

We may terminate or suspend access immediately for:

• Terms of Service violations
• Illegal or harmful activities
• Non-payment of fees
• Fraudulent or unauthorized use

11.3 Effect of Termination

• You lose access to paid features immediately
• Your content may be deleted after reasonable notice
• Outstanding balances remain due

12. Disclaimers and Limitations

12.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 Limitation of Liability

XCut.AI SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount paid for the service in the past 12 months
• Issues arising from third-party platform policies or changes

12.3 AI Technology Limitations

• AI-generated results may not always meet expectations
• AI analysis quality depends on the data and context provided in your canvas nodes
• We don't guarantee viral success or engagement rates
• Results may vary based on content type and platform algorithms

13. Indemnification

You agree to indemnify and hold XCut.AI harmless from claims arising from: Your use of the service, your content or its publication, violation of these Terms, infringement of third-party rights.

14. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via: Email notification to registered users, website announcement, in-app notification. Continued use after changes constitutes acceptance of new Terms.

15. Governing Law

These Terms are governed by the laws of India. Disputes will be resolved in the courts of Bangalore, Karnataka, India.

17. Miscellaneous

17.1 Severability

If any provision is found unenforceable, the remainder of these Terms remain in effect.

These Terms, along with our Privacy Policy, constitute the entire agreement between you and XCut.AI.

17.3 Assignment

XCut.AI may assign these Terms; you may not assign your rights without our written consent.

17.4 Force Majeure

Neither party is liable for delays due to circumstances beyond reasonable control.
